Terms of Service

1. ACCEPTANCE OF TERMS

By accessing or using the Hypercoordinate platform and related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. We may modify these Terms at any time, and such modifications will be effective upon posting. Your continued use of the Service constitutes acceptance of the modified Terms.

2. DESCRIPTION OF SERVICE

Hypercoordinate provides a data and AI platform that enables researchers to upload data, query their data using natural language, and create visualizations without writing code or database queries. The Service is designed for industrial R&D applications and may include confidential corporate research data.

3. ELIGIBILITY AND ACCOUNT REGISTRATION

3.1 Eligibility

You must be at least eighteen (18) years old and capable of forming a binding contract to use the Service. The Service is intended exclusively for corporate researchers and professionals. Students and minors are prohibited from using the Service.

3.2 Account Creation

To access the Service, you must register for an account by providing a valid email address and creating a password. You may not use another person's account without permission.

3.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account or any other breach of security.

3.4 Accurate Information

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

4. ACCEPTABLE USE POLICY

4.1 Permitted Use

You may use the Service solely for lawful purposes in accordance with these Terms. You are responsible for all content you upload, transmit, or otherwise make available through the Service ("User Content").

4.2 Prohibited Uses

You agree not to:

• Upload files exceeding 50MB per upload or circumvent query limitations
• Upload, transmit, or store any content that infringes any intellectual property or proprietary rights
• Upload personally identifiable information (PII) of individuals
• Upload malicious code, viruses, or any content designed to harm or disrupt the Service
• Attempt to gain unauthorized access to any portion of the Service or its related systems
• Interfere with or disrupt the Service or servers or networks connected to the Service
• Use the Service to violate any applicable laws or regulations
• Reverse engineer, decompile, or disassemble any aspect of the Service
• Use automated systems or software to extract data from the Service without permission
• Resell or commercially exploit the Service without authorization

4.3 Monitoring and Enforcement

We reserve the right, but have no obligation, to monitor use of the Service for violations of these Terms. We may remove or disable access to any content that violates these Terms.

5. USER CONTENT AND DATA OWNERSHIP

5.1 Ownership

You retain all ownership rights in and to your User Content. Hypercoordinate does not claim ownership of your User Content.

5.2 License to Hypercoordinate

By uploading User Content to the Service, you grant Hypercoordinate a worldwide, non-exclusive, royalty-free license to use, copy, store, transmit, display, and process your User Content solely to the extent necessary to provide the Service to you. This license terminates when you delete your User Content or close your account, subject to our data retention policy.

5.3 Generated Content

All queries, insights, visualizations, and other outputs generated by the Service based on your User Content ("Generated Content") are owned by you.

5.4 Feedback

Any suggestions, comments, or other feedback you provide about the Service ("Feedback") may be used by Hypercoordinate without any obligation to you.

5.5 No Training Use

We do not use your User Content or Generated Content to train our AI models.

6. INTELLECTUAL PROPERTY RIGHTS

6.1 Hypercoordinate Property

The Service, including all software, text, displays, images, and the selection and arrangement thereof, is owned by Hypercoordinate or its licensors and is protected by intellectual property laws. Nothing in these Terms grants you any right to use the Hypercoordinate name, logos, or trademarks.

6.2 Copyright Policy

We respect the intellectual property rights of others. If you believe that content available through the Service infringes your copyright, please send a notice to [email protected] containing:

• Identification of the copyrighted work claimed to be infringed
• Identification of the allegedly infringing material
• Your contact information
• A statement that you have a good faith belief that the use is not authorized
• A statement under penalty of perjury that the information in your notice is accurate
• Your physical or electronic signature

7. PRIVACY

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of information as detailed in the Privacy Policy.

8. PAYMENT TERMS

8.1 Current Pricing

The Service is currently provided free of charge for evaluation and feedback purposes.

8.2 Future Pricing

We reserve the right to charge fees for the Service in the future. We will provide advance notice of at least thirty (30) days before implementing any fees. Future pricing will be subscription-based with usage-based tiers, and a free tier will remain available.

8.3 Taxes

You are responsible for all applicable taxes related to your use of the Service.

9. SERVICE AVAILABILITY AND MODIFICATIONS

9.1 Availability

While we strive to provide reliable service, we do not guarantee that the Service will be available at all times or operate without interruption or error.

9.2 Modifications

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time. We will provide thirty (30) days' notice for material adverse changes or discontinuation of the Service.

9.3 No SLA

The Service is provided without any service level agreements or uptime guarantees.

10. DISCLAIMERS AND WARRANTIES

10.1 AS-IS BASIS

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.2 No Guarantee

We do not warrant that the Service will meet your requirements or that the results obtained from the Service will be accurate, reliable, or error-free.

10.3 Third-Party Services

We are not responsible for any third-party services, content, or resources accessible through the Service.

11. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Hypercoordinate Inc., its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.

12. LIMITATION OF LIABILITY

12.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HYPERCOORDINATE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL.

12.2 Cap on Liability

IN NO EVENT SHALL HYPERCOORDINATE'S TOTAL LIABILITY TO YOU EXCEED ONE HUNDRED DOLLARS ($100) OR THE AMOUNT YOU PAID TO HYPERCOORDINATE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, WHICHEVER IS GREATER.

12.3 Basis of Bargain

You acknowledge that Hypercoordinate has offered the Service in reliance upon the limitations of liability set forth herein and that the same is an essential basis of the bargain between you and Hypercoordinate.

13. TERMINATION

13.1 By You

You may terminate your account at any time by contacting us at [email protected].

13.2 By Hypercoordinate

We may suspend or terminate your account or access to the Service at any time for any reason, including for violation of these Terms.

13.3 Effect of Termination

Upon termination: (a) your right to access and use the Service terminates immediately; (b) you remain liable for all obligations incurred prior to termination; and (c) Sections 5.4, 6, 11, 12, 14, and 15 survive termination.

13.4 Data Retention

Following account termination, we will retain your User Content for ninety (90) days before permanent deletion, unless we are required to retain it for legal reasons.

14. DISPUTE RESOLUTION

14.1 Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles.

14.2 Informal Resolution

Before filing a claim, each party agrees to try to resolve the dispute informally by contacting the other party.

14.3 Venue

Any disputes not resolved informally shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in such courts.

15. GENERAL PROVISIONS

15.1 Entire Agreement

These Terms and the Privacy Policy constitute the entire agreement between you and Hypercoordinate regarding the Service.

15.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

15.3 No Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

15.5 Enterprise Agreements

Organizations requiring custom terms may contact us to negotiate separate enterprise agreements.
